Terms of Service
Effective Date: September 18, 2026
Southern Vermont / In-Person and Remote Player Development
| IMPORTANT MONTHLY SESSION POLICYMonthly in-person training sessions are USE IT OR LOSE IT. Unused sessions expire at the end of the applicable monthly billing period and do not roll over, accumulate, transfer, or create a future credit unless Metrics Baseball Academy expressly agrees otherwise in writing. |
These Terms of Service ("Terms") govern participation in assessments, local training, remote development programs, camps, clinics, private instruction, digital training services, and other programs offered by Metrics Baseball Academy ("Metrics," "MBA," "we," "us," or "our"). By purchasing a program, enrolling an athlete, booking an assessment or session, accessing the player app, or otherwise using MBA services, the participant and, where applicable, the participant's parent or legal guardian (collectively, "Member," "you," or "your") agree to these Terms.
1. Programs and Services
MBA provides data-driven baseball development services that may include biomechanical assessments, Rapsodo-based performance tracking, pitching development, hitting development, two-way development, one-on-one instruction, remote development plans, digital player-portal access, video review, progress reports, camps, clinics, and related services.
The specific services included in a purchase are determined by the program description, enrollment page, invoice, order form, or other written communication provided at the time of enrollment. MBA may modify training methods, technology, coaches, facilities, schedules, and program components when reasonably necessary to operate the Academy or improve athlete development.
2. Local Training Memberships
Local training memberships may include a specified number of one-on-one training sessions during each monthly billing period, along with remote development tools, athlete app access, training plans, progress tracking, or other benefits identified in the selected program.
Current local pitching, hitting, and two-way development programs may carry a minimum commitment period. If a minimum term applies at enrollment, the Member agrees to pay the applicable recurring charges for that minimum term unless MBA expressly approves an earlier termination in writing or applicable law requires otherwise.
3. Monthly Sessions - Use It or Lose It
All in-person training sessions included in a monthly membership must be used during the applicable monthly billing period. Unused sessions do not roll over, accumulate, transfer to another athlete, convert to cash, or create a credit toward a future month.
For example, if a Member's plan includes four one-on-one training sessions during a monthly billing period and the athlete attends only two, the remaining two sessions expire at the end of that billing period.
Membership fees reserve access to MBA coaching, scheduling capacity, facilities, technology, training plans, player-development resources, and available training opportunities during the applicable month. Membership fees are not calculated solely based on the number of sessions actually attended.
Failure to use available sessions does not entitle the Member to a refund, account credit, reduced membership fee, extension of the billing period, or additional sessions in a future month.
4. Scheduling and Missed Sessions
Members are responsible for scheduling and attending sessions within the applicable monthly period. Session availability may vary based on coach schedules, athlete level, facility availability, field conditions, seasonality, and other operational considerations.
Sessions missed by an athlete for reasons including personal conflicts, school activities, team practices or games, tournaments, travel, illness, transportation issues, forgetting a booking, or choosing not to attend will generally be forfeited and will not roll over.
MBA may, at its discretion, allow a session to be rescheduled within the same monthly billing period if reasonable notice is provided and capacity is available. A one-time accommodation does not create an obligation to provide the same accommodation in the future. Reasonable requests will be considered as those submitted in writing at least 24 hours prior to the scheduled session start time.
In the event of a documented medical injury or illness preventing participation for more than 14 days, MBA may, upon receipt of a physician note, freeze the membership and extend the commitment period accordingly.
5. Academy Cancellations and Rescheduling
If MBA cancels a scheduled in-person session and cannot provide a reasonable substitute opportunity during the applicable billing period, MBA may provide a makeup session, extend that specific session credit, move the session to another available date or location, or provide another reasonable accommodation.
This Section applies to cancellations initiated by MBA and does not convert Member-caused absences into refundable or bankable sessions.
6. Assessments
MBA may offer delivery, swing, two-way, biomechanical, analytical, or other player assessments as one-time services or as components of a development program. Assessment fees are generally earned when the assessment is performed or when MBA begins substantive analysis of submitted data or video, subject to any separate written cancellation policy.
Assessment results, performance metrics, comparisons, and recommendations are intended for coaching and player-development purposes. They are not medical diagnoses and should not be treated as medical advice.
7. Remote Development Programs
Remote development programs may include video submission and review, biomechanical analysis, a customized development plan, player-app access, messaging support, periodic video calls, updated routines, reassessments, and other services described at enrollment.
Remote programs may be sold for a fixed multi-month commitment. Where a three-month, six-month, or other stated term applies, the Member agrees to the applicable payment schedule for that term unless MBA agrees otherwise in writing or applicable law requires otherwise.
Any monthly remote check-in, coaching call, review, or comparable time-based benefit included in a remote program is intended for use during the applicable month. Unless MBA agrees otherwise, an unused monthly check-in does not accumulate or create an additional future coaching session.
8. Member Responsibilities for Remote Training
Remote athletes are responsible for providing usable video, accurate information, timely feedback, reasonable access to required training equipment or facilities, and consistent participation in the assigned program. Delays caused by incomplete video, missed check-ins, failure to provide requested information, or lack of equipment access may affect the timing or effectiveness of the program and do not automatically create a right to a refund or extension.
Athletes are responsible for performing drills and training activities in a safe environment and stopping any activity that causes unexpected pain, dizziness, loss of function, or other concerning symptoms.
9. Automatic Recurring Billing
Unless specifically stated otherwise, monthly programs are recurring subscriptions or installment-based commitments. By enrolling, the Member authorizes MBA and its payment processor to charge the payment method on file for the applicable fees on each scheduled billing date.
Members are responsible for maintaining a valid payment method and accurate billing information. Applicable taxes, processing charges, or separately purchased services may be added when properly disclosed.
10. Minimum Commitment Periods
A program identified as having a minimum commitment period is not a month-to-month cancel-anytime service during that minimum term. The Member remains responsible for the payments scheduled during the agreed commitment period, even if the athlete chooses to stop participating, except where MBA approves an exception in writing or applicable law provides a cancellation right.
After a minimum commitment ends, any continuation, renewal, or month-to-month structure will be governed by the terms communicated for that program at the time.
11. Failed Payments
If a payment fails, MBA may retry the payment method, request updated billing information, suspend app or booking access, pause coaching services, prohibit participation in training, or cancel future services. Any outstanding balance remains the responsibility of the Member.
MBA may require outstanding balances to be paid before services resume.
12. Cancellation of Recurring Services
Members must follow the cancellation procedure communicated by MBA. Unless a separate written policy states otherwise, cancellation stops future renewals after the Member has satisfied any applicable minimum commitment and does not retroactively cancel charges for a billing period that has already begun.
Unused in-person sessions remaining at the end of a paid membership period are forfeited and have no cash value. Cancellation does not cause previously unused sessions to roll forward.
13. Refund Policy
Except where required by law or expressly approved by MBA in writing, payments are non-refundable once the applicable service period has begun, an assessment has been performed, substantive analysis has commenced, or digital/customized programming has been delivered.
Refunds will generally not be issued because an athlete did not attend, did not use all monthly sessions, changed teams, changed schedules, traveled, became unavailable, stopped participating, failed to schedule available sessions, failed to complete remote work, or did not achieve a desired performance outcome.
MBA may make exceptions in extraordinary circumstances at its discretion. An exception does not modify these Terms or create an obligation to make similar exceptions in the future.
14. Camps, Clinics, Events, and Special Programs
Camps, clinics, showcases, private events, recruiting packages, assessment events, and other special programs may have separate pricing, refund rules, registration requirements, deadlines, and terms. Any program-specific written terms control if they directly conflict with these general Terms.
15. Training Locations and Facilities
MBA may conduct training at its primary facility, partner facilities, local fields, rented spaces, schools, athletic complexes, or other third-party locations. Members must comply with all rules imposed by those facilities.
MBA may change or relocate a session when reasonably necessary due to facility availability, weather, maintenance, scheduling, safety, or operational needs. A change in training location within the Academy's ordinary service area does not automatically create a right to a refund.
16. Weather, Field Conditions, and Facility Closures
Sessions may be delayed, relocated, modified, shortened, conducted in an alternate format, or canceled because of severe weather, unsafe field conditions, facility closures, utility outages, emergencies, or other circumstances outside MBA's reasonable control.
MBA retains final authority regarding whether a training environment is appropriate for a scheduled session. When reasonable, MBA will attempt to provide an alternative training opportunity for an Academy-initiated cancellation.
17. Athlete Conduct
MBA is committed to a focused, safe, and development-oriented training environment. Athletes are expected to follow coach instructions, train responsibly, treat coaches and other athletes respectfully, use equipment appropriately, and avoid behavior that interferes with another athlete's training or safety.
MBA may remove, suspend, or terminate an athlete for unsafe, disruptive, abusive, threatening, dishonest, destructive, or otherwise inappropriate behavior. Serious or repeated violations may result in termination without refund to the extent permitted by law.
18. Parent and Guardian Conduct
Parents and guardians are expected to communicate respectfully with MBA coaches, staff, contractors, athletes, other families, and facility personnel. Harassment, threats, abusive communications, interference with coaching, repeated disruption, or inappropriate conduct may result in restrictions on attendance or termination of the associated athlete's participation.
19. Coaching Decisions and Training Methodology
MBA retains authority over coaching methodology and player-development decisions, including drill selection, workload, training progression, mechanics instruction, hitting or pitching focus, data interpretation, use of technology, session structure, and recommended independent work.
Athletes may receive different programming based on age, physical maturity, training history, competitive season, goals, workload, assessment results, and coach judgment.
20. Technology, Data, and Player Portal
MBA may use motion-capture tools, ball-flight tracking systems, performance-analysis software, video, athlete-management platforms, and a player portal or mobile application to provide services. Members authorize MBA to collect and use training-related information reasonably necessary to deliver the purchased services, subject to applicable privacy law and any separate privacy policy.
MBA does not guarantee uninterrupted availability of third-party software, internet services, apps, tracking systems, or technology. Temporary outages or vendor changes do not automatically entitle a Member to a refund where MBA can still provide the material coaching service.
21. Performance Data and Benchmarks
Metrics such as velocity, spin characteristics, pitch movement, exit velocity, bat speed, launch angle, biomechanics, and other measurements may vary based on equipment, calibration, environment, athlete readiness, sample size, and testing conditions. Data should be viewed as a developmental tool rather than a guaranteed or perfectly comparable measurement across all settings.
22. Athletic Risk and Assumption of Risk
Baseball training, pitching, hitting, throwing, strength work, mobility exercises, and athletic participation involve inherent risks, including strains, sprains, overuse injuries, impact injuries, falls, collisions, fractures, concussions, and other injuries.
Participation is voluntary. Participants and their parents or legal guardians are responsible for determining whether the athlete is physically capable of participating. MBA may require a separate liability waiver, assumption-of-risk agreement, emergency medical authorization, or similar form as a condition of participation.
23. Injury, Pain, and Medical Matters
MBA coaches provide athletic coaching and performance-development services, not medical diagnosis or treatment. References to injury risk, arm care, recovery, movement efficiency, or biomechanics are for training and educational purposes and do not replace advice from a qualified medical professional.
Athletes should promptly report pain or injury concerns and should not train through symptoms that may indicate injury. MBA may limit participation or require medical clearance when a coach reasonably believes continued participation could create a safety concern.
24. No Guarantee of Results
MBA provides instruction, analysis, planning, accountability, technology, and player-development services. Results depend on many factors outside MBA's control, including attendance, effort, adherence to programming, health, physical development, competition level, team workload, recovery, genetics, and individual ability.
MBA does not guarantee a specific increase in velocity, bat speed, exit velocity, command, playing time, roster placement, recruitment outcome, scholarship, collegiate opportunity, professional opportunity, injury prevention, or other athletic result.
25. Recruiting and Player Profiles
If MBA provides recruiting data packages, player profiles, performance reports, or related services, those materials are intended to help organize and communicate athlete information. MBA does not guarantee that a coach, school, scout, team, or recruiting organization will review the materials or offer the athlete a roster spot, scholarship, or other opportunity.
26. Personal Property and Equipment
Participants are responsible for their own bats, gloves, clothing, electronics, training equipment, and other personal property unless MBA expressly agrees otherwise. MBA is not responsible for lost, stolen, misplaced, or damaged personal items except to the extent required by law.
27. Photos, Video, and Training Recordings
MBA may record training footage, swings, pitching deliveries, assessments, or performance data for coaching, analysis, player-development, documentation, and quality-control purposes. Promotional or public-facing use of an athlete's identifiable image or video will be subject to any applicable consent requirements or separate media release.
Families with concerns about promotional media use should notify MBA so the request can be documented.
28. Communications

29. Suspension or Termination by MBA
MBA may suspend or terminate access to services for nonpayment, fraudulent activity, repeated policy violations, unsafe conduct, harassment, damage to facilities or equipment, material misrepresentation, misuse of Academy technology, or other material violations of these Terms.
Any refund following suspension or termination will be determined based on the circumstances, services already provided, contractual commitments, and applicable law.
30. Changes to Programs, Pricing, and Terms
MBA may update its program structure, pricing, session formats, schedules, facilities, technologies, included benefits, or these Terms from time to time. Material changes affecting future recurring charges or ongoing obligations will be communicated as reasonably required.
Changes will not retroactively alter fees already paid for a completed service period unless agreed by the parties or required by law.
31. Governing Law and Disputes
These Terms are governed by the laws of the State of Vermont, without regard to conflict-of-law principles. Before filing a formal claim, the parties should attempt in good faith to resolve the issue through direct written communication. Unless applicable law requires otherwise or the parties agree to another process in writing, any court proceeding relating to these Terms may be brought in a court of competent jurisdiction in Vermont.
32. Severability and Waiver
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. MBA's failure to enforce a provision on one occasion does not waive the right to enforce that provision later.
33. Limit of Liability
To the maximum extent permitted by applicable law, Metrics Baseball Academy, its owners, coaches, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your participation in our programs or use of our services or facilities. In no event shall MBA's aggregate financial liability exceed the total amount actually paid by you to MBA in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Metrics Baseball Academy, its officers, directors, employees, contractors, and agents from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your or your athlete's participation in MBA services, violation of these Terms, or violation of any third-party rights.
34. Entire Agreement
These Terms, together with the Member's selected program, enrollment information, payment authorization, liability waiver, any applicable media release, and any program-specific written terms expressly incorporated by MBA, constitute the agreement governing the services purchased from MBA. A parent or legal guardian must execute these Terms on behalf of any athlete under 18.
35. Contact Information
Questions regarding memberships, assessments, billing, scheduling, cancellations, remote programs, or these Terms should be directed to Metrics Baseball Academy through its official website or published contact channels.
